01About TradeKit

TradeKit is a trade management application designed for UK-based sole traders, available as a Progressive Web App and as an Android app via Google Play. The app helps you manage quotes, invoices, expenses, jobs, CIS deductions and VAT estimates from a single dashboard, and supports digital record-keeping and quarterly update submissions to HMRC under Making Tax Digital for Income Tax (MTD ITSA).

TradeKit is operated by KIH Technologies Ltd, a company registered in England and Wales (company number 17214671). Our registered office details are held on the public Companies House register. Contact: support@tradekitapp.co.uk.

02Acceptance of Terms

By creating an account or using TradeKit in any way, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the service.

03Account Registration & Eligibility

• You must be at least 18 years of age to use TradeKit.
• TradeKit is intended for UK-based sole traders and individuals operating in the UK construction and trade sectors.
• You must provide accurate and complete information when creating your account.
• You are responsible for keeping your login credentials secure. TradeKit is not liable for any unauthorised access resulting from your failure to protect your account details.
• Each account is limited to a maximum of two active devices at any time.
• Two-Step Sign-in (optional): TradeKit supports time-based one-time-password (TOTP) Two-Step Sign-in via authenticator apps (Google Authenticator, Authy, 1Password, Microsoft Authenticator). When enabled, sign-in requires your password plus a 6-digit code. Strongly recommended if you connect TradeKit to HMRC. You are responsible for keeping your authenticator device and recovery codes safe; if both are lost, account access cannot be guaranteed without identity verification.

04Free Trial

• New users receive a 30-day free trial with access to all TradeKit features.
• No payment details are required to start a trial.
• At the end of the trial period, you will need to subscribe to a paid plan to continue using the service.

05Subscription & Payments

• All payments are processed securely via Stripe. TradeKit does not store your card details.
• Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date.
• You can cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period - you will retain access until then.
• TradeKit reserves the right to change subscription pricing. Existing subscribers will be given at least 30 days’ notice before any price change takes effect on their account.

06Pricing

TradeKit is offered as a subscription billed in advance via Stripe: £99.99 per year, or £10.99 per month. Pricing may be reviewed from time to time; existing subscribers will be given at least 30 days’ notice of any change before it takes effect on their account (see Section 5).

07Acceptable Use

You agree not to:

• Use TradeKit for any illegal, fraudulent or unlawful purpose.
• Attempt to gain unauthorised access to the app, its servers or any related systems.
• Abuse, overload or interfere with the TradeKit API or backend services.
• Upload malicious content, viruses or harmful code.
• Use automated scripts or bots to access the service without written permission.
• Resell, sublicense or redistribute access to TradeKit.
• Invite anyone to TradeKit as a client or accountant without their permission, or use the invitation feature to send unsolicited email.

07AAccountant Access

A TradeKit user may invite an accountant or bookkeeper to view their records, and an accountant who uses TradeKit may invite a client to join. In either case:

• Access is granted only when the invited person accepts while signed in with the invited email address, and is read-only by default. The client owns their data and may withdraw the accountant’s access at any time.
• A client may additionally allow a named accountant to edit the category and notes on the client’s expenses. That permission covers those two fields only, can be withdrawn at any time, and every change is recorded and visible to the client. An accountant must not use it to alter records without the client’s knowledge.
• An accountant may mark a tax period as reviewed (approved or changes requested) and may raise questions about individual records. Such a mark is the accountant’s professional opinion for the client’s benefit; it is not an HMRC status, TradeKit does not rely on it, and the client remains solely responsible for every submission made from their account, including where they have chosen to hold submissions until an accountant approves them.
• Accountant accounts are free and exist solely to view client records. An accountant who also trades must keep their own books in a separate, subscribed account.
• An accountant who invites a client confirms that they act for that person and have their permission to send the invitation. We may suspend the invitation feature or the accountant account if it is misused.
• An invited client is an ordinary TradeKit user: the free trial, subscription and these Terms apply to them in the normal way, and their subscription is between them and TradeKit, not the accountant.
• TradeKit does not supervise, verify or endorse any accountant. Any professional relationship, advice or fees are a matter between you and your accountant.

07BOnline Invoice Payments (where enabled)

Where TradeKit offers it, you may connect a Stripe account that you own so that your customers can pay your invoices by card through a link TradeKit adds to the invoice. In that case:

• You are the merchant of record for the sale, Stripe is the payment processor, and TradeKit is the software that produced the invoice and the link. TradeKit is not a party to the sale and does not receive, hold or transmit your customers' payments.
• Your relationship with Stripe, including its fees, identity checks, payout timing, refunds, chargebacks and disputes, is governed by Stripe's own terms and managed in your own Stripe dashboard. TradeKit reflects payment status in your records but cannot act on your Stripe account.
• TradeKit takes no fee from customer payments. If that ever changes it will be stated in these Terms and shown to you before you connect.
• You must use payment links only for genuine invoices for your own goods or services, and you remain responsible for the accuracy of every invoice and for your own tax and record-keeping obligations arising from payments received.
• You may disconnect your Stripe account at any time in Settings; existing payment links then stop working. We may suspend the feature for an account we reasonably believe is being misused.

08Intellectual Property

• TradeKit owns the app: All code, design, branding, logos and content that form the TradeKit application are the intellectual property of KIH Technologies Ltd (company no. 17214671), the operator of TradeKit. You may not copy, modify, distribute or reverse-engineer any part of the app.
• You own your data: All trade data, customer records, invoices, quotes, expenses and media you create or upload remain your property. TradeKit does not claim ownership of your content.

09Data & Privacy

Your privacy matters to us. Our collection, use and protection of your personal data is governed by our Privacy Policy. By using TradeKit, you also agree to the terms of that policy.

10Tax Disclaimer

• You are solely responsible for the accuracy of your own tax returns and HMRC submissions.
• You should consult a qualified accountant or tax professional if you are unsure about your tax obligations.
• TradeKit accepts no liability for any errors, penalties or losses arising from reliance on estimates provided by the app.

11HMRC Integration Disclaimer

Where TradeKit facilitates submissions to HMRC (including but not limited to Making Tax Digital for Income Tax (MTD ITSA), Self Assessment or CIS returns), please note:

• TradeKit acts as a tool to help you prepare and submit information. You are responsible for reviewing all data before submission.
• TradeKit is not responsible for how HMRC processes your submissions or for any errors, delays or rejections on HMRC’s side.
• You remain fully responsible for meeting all HMRC deadlines and obligations.
• In the event of a technical issue preventing submission, TradeKit will make reasonable efforts to notify you, but accepts no liability for missed deadlines.
• Right to disconnect: You may revoke TradeKit’s access to your HMRC account at any time, either from within TradeKit (Settings → HMRC → Disconnect) or directly from your Government Gateway account. Disconnecting from HMRC does not terminate your TradeKit account or affect the trade data you have entered.
• Tax estimates: The figures shown in TradeKit (income tax, National Insurance, capital allowances, CIS deductions) are real-time estimates based on the data you have entered. They are not a substitute for an accountant’s review or HMRC’s own tax calculation, and may differ from your final assessed liability.

12Limitation of Liability

To the fullest extent permitted by law:

• TradeKit is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
• TradeKit does not guarantee that the service will be uninterrupted, error-free or completely secure.
• TradeKit shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.
• Our total liability for any claim arising from your use of TradeKit shall not exceed the amount you have paid us in subscription fees during the 12 months preceding the claim.
• Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

13Termination

• By you: You may cancel your subscription and delete your account at any time from your account Settings. Upon account deletion, all your data will be permanently removed.
• By TradeKit: We reserve the right to suspend or terminate your account if you breach these terms, engage in abusive behaviour, or use the service in a way that could harm other users or the platform. We will make reasonable efforts to notify you before taking action, except in cases of serious or urgent breach.

14Changes to These Terms

We may update these Terms of Service from time to time. When we make significant changes, we will notify you via email or an in-app notice. The effective date at the top of this page will be updated accordingly. Continued use of TradeKit after changes take effect constitutes acceptance of the revised terms.

15Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of TradeKit shall be subject to the exclusive jurisdiction of the courts of England and Wales.
