1. About TradeKit
TradeKit™ is a trade management progressive web application (PWA) designed for UK-based sole traders. The app helps you manage quotes, invoices, expenses, jobs, CIS deductions and VAT estimates from a single dashboard.
2. Acceptance of Terms
By creating an account or using TradeKit in any way, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the service.
3. Account Registration & Eligibility
- You must be at least 18 years of age to use TradeKit.
- TradeKit is intended for UK-based sole traders and individuals operating in the UK construction and trade sectors.
- You must provide accurate and complete information when creating your account.
- You are responsible for keeping your login credentials secure. TradeKit is not liable for any unauthorised access resulting from your failure to protect your account details.
- Each account is limited to a maximum of two active devices at any time.
4. Free Trial
- New users receive a 14-day free trial with access to all TradeKit features.
- No payment details are required to start a trial.
- At the end of the trial period, you will need to subscribe to a paid plan to continue using the service.
5. Subscription & Payments
- All payments are processed securely via Stripe. TradeKit does not store your card details.
- Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date.
- You can cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period — you will retain access until then.
- TradeKit reserves the right to change subscription pricing. Existing subscribers will be given at least 30 days’ notice before any price change takes effect on their account.
6. Founder Pricing
Users who subscribe during the Founder pricing period receive a locked rate for the lifetime of their subscription. This means your price will not increase for as long as your subscription remains active and uninterrupted. If you cancel and later re-subscribe, the Founder rate is no longer guaranteed and standard pricing at the time of re-subscription will apply.
7. Acceptable Use
You agree not to:
- Use TradeKit for any illegal, fraudulent or unlawful purpose.
- Attempt to gain unauthorised access to the app, its servers or any related systems.
- Abuse, overload or interfere with the TradeKit API or backend services.
- Upload malicious content, viruses or harmful code.
- Use automated scripts or bots to access the service without written permission.
- Resell, sublicense or redistribute access to TradeKit.
8. Intellectual Property
- TradeKit owns the app: All code, design, branding, logos and content that form the TradeKit application are the intellectual property of TradeKit App. You may not copy, modify, distribute or reverse-engineer any part of the app.
- You own your data: All trade data, customer records, invoices, quotes, expenses and media you create or upload remain your property. TradeKit does not claim ownership of your content.
9. Data & Privacy
Your privacy matters to us. Our collection, use and protection of your personal data is governed by our Privacy Policy. By using TradeKit, you also agree to the terms of that policy.
10. Tax Disclaimer
TradeKit provides estimates only and does NOT constitute professional tax, accounting or financial advice. CIS deduction calculations, VAT estimates and any other tax-related figures shown in the app are provided as guidance tools to assist with your record-keeping. They may not reflect your exact tax position.
- You are solely responsible for the accuracy of your own tax returns and HMRC submissions.
- You should consult a qualified accountant or tax professional if you are unsure about your tax obligations.
- TradeKit accepts no liability for any errors, penalties or losses arising from reliance on estimates provided by the app.
11. HMRC Integration Disclaimer
Where TradeKit facilitates submissions to HMRC (including but not limited to Self Assessment or CIS returns), please note:
- TradeKit acts as a tool to help you prepare and submit information. You are responsible for reviewing all data before submission.
- TradeKit is not responsible for how HMRC processes your submissions or for any errors, delays or rejections on HMRC’s side.
- You remain fully responsible for meeting all HMRC deadlines and obligations.
- In the event of a technical issue preventing submission, TradeKit will make reasonable efforts to notify you, but accepts no liability for missed deadlines.
12. Limitation of Liability
To the fullest extent permitted by law:
- TradeKit is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
- TradeKit does not guarantee that the service will be uninterrupted, error-free or completely secure.
- TradeKit shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.
- Our total liability for any claim arising from your use of TradeKit shall not exceed the amount you have paid us in subscription fees during the 12 months preceding the claim.
- Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
13. Termination
- By you: You may cancel your subscription and delete your account at any time from your account Settings. Upon account deletion, all your data will be permanently removed.
- By TradeKit: We reserve the right to suspend or terminate your account if you breach these terms, engage in abusive behaviour, or use the service in a way that could harm other users or the platform. We will make reasonable efforts to notify you before taking action, except in cases of serious or urgent breach.
14. Changes to These Terms
We may update these Terms of Service from time to time. When we make significant changes, we will notify you via email or an in-app notice. The effective date at the top of this page will be updated accordingly. Continued use of TradeKit after changes take effect constitutes acceptance of the revised terms.
15. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of TradeKit shall be subject to the exclusive jurisdiction of the courts of England and Wales.
